The most important types of institutional investors include pension funds, insurance companies, mutual funds, sovereign wealth funds, and large asset managers. Their role in the economy has grown significantly over recent decades, and they are now the largest category of owners of publicly listed companies worldwide, accounting for 47% of total ownership in early 2025, a figure that reached 69% in the United States. An example helps put this into perspective. Virtually all of Apple’s ten largest shareholders are institutional investors, and its three largest investors are also the world’s largest institutional asset managers: Vanguard, which owned 9.63% of its shares; BlackRock, with 7.10%; and State Street, with approximately 5% at the time of writing.

The Pros

For a company, having institutional investors among its shareholders can provide several advantages:

A more stable shareholder base. Some institutional investors, particularly index funds and pension funds, hold their investments for extended periods, reducing the relative influence of more speculative shareholders.

More professional oversight of executives and greater pressure to improve corporate governance. Large asset managers have specialists who can analyze executive compensation, board composition, capital allocation, and a range of business risks. Institutional investors can therefore demand greater transparency, more qualified directors, or better consideration of strategic and environmental risks.

Greater credibility and access to capital markets. The presence of well-known institutional investors can increase a company’s visibility and credibility among analysts and other investors.

One example: ExxonMobil provides an interesting example. In 2021, major institutional investors supported parts of a campaign by a small investor called Engine No. 1 to reshape the company’s board, ultimately resulting in the election of three new directors. Regardless of the controversy surrounding the specific energy strategy involved, the episode illustrates how these shareholders can play a key role in major strategic decisions—such as changes to board composition—and exercise influence that exceeds their nominal ownership stake in the company. Institutional investors also tend to pay closer attention to certain long-term strategic risks.

The Cons

However, the presence of institutional investors can also create disadvantages:

Pressure for easily observable results. Not all institutional investors have the same time horizon, and some may favor relatively quick improvements in profitability over investments that will take years to generate returns.

Concentration of power. When a small number of large asset managers rank among the largest shareholders of thousands of companies, their voting policies can exert considerable influence.

Conflicts with management. Institutional investors may oppose acquisitions, restructurings, compensation policies, or strategic decisions that the management team considers appropriate.

Overly standardized solutions. A voting policy designed to oversee thousands of companies may fail to capture the particular circumstances of an individual business.

One example was Unilever, which ultimately abandoned its plan to move its headquarters from the United Kingdom to the Netherlands in 2018 after strong opposition from UK institutional investors, whose objections were driven more by reputational concerns affecting their own organizations than by considerations directly relevant to the company. The case does not demonstrate that either side was necessarily right, but it does show how institutional investors can place very tangible constraints on management’s strategic freedom of action.

More Evidence and Research

This debate is particularly relevant to me because I am one of the authors of a research study related to the topic of this post, entitled The link between foreign institutional owners and multinational enterprises’ environmental outcomes and published in the Journal of International Business Studies, widely regarded as the leading research journal in the field of international business. In the study, we analyzed 197 multinational companies in the chemical industry, headquartered in 33 countries, over the 2010–2019 period to examine the relationship between institutional ownership and two distinct dimensions: current environmental performance and longer-term environmental innovation. The results show that a greater presence of foreign institutional investors is positively associated with environmental performance; however, their influence on environmental innovation is not statistically significant. Domestic institutional investors, by contrast, are positively associated with both dimensions. This difference clearly illustrates the central idea of this post: institutional investors can bring discipline, visibility, and strategic direction, but their specific incentives can differ both from one another and from those of the company itself.

In summary, given the growing importance of institutional investors, rather than debating whether their presence is inherently good or bad, it is more useful to ask what type of institutional investor is involved, what its time horizon is, and how it exercises its influence.

Sources and References

OECD (2025), OECD Corporate Governance Factbook 2025. Full report available at: https://www.oecd.org/en/publications/2025/10/oecd-corporate-governance-factbook-2025_56febc0d/full-report.html

MarketScreener (2026), List of Apple’s shareholders. Available at: https://www.marketscreener.com/quote/stock/APPLE-INC-4849/company-shareholders/

Ellimäki, P., Aguilera, R.
